Terms of Service
These Terms are a contract between the customer and LanaChat legal entity name, address, registration number, a Wyoming (USA) limited liability company ("LanaChat", "we", "us", "our"). Questions about these Terms: [email protected].
1. What these Terms cover
These Terms of Service govern access to and use of LanaChat: the website at lanachat.ai, the console at app.lanachat.ai, the Lana AI, the Telegram integration, the Vault, the API, the MCP server and every related service (together, the "Service"). By creating a workspace, topping up a balance, connecting a Telegram account or using the Service in any other way, the customer accepts these Terms, the Acceptable Use Policy, the Privacy Policy, the Cookie Policy and, where personal data is processed on the customer's behalf, the Data Processing Addendum. If you do not agree, do not use the Service.
The Service is sold to businesses. It is not offered to consumers, and consumer protection rules that apply only to consumers do not apply to this contract.
2. Definitions
- Agency or customer: the business that opens a workspace and is responsible for it. An independent creator who opens a workspace for her own accounts is also an Agency under these Terms.
- Creator: an adult content creator whose Telegram account the Agency manages and connects to the Service.
- Fan: a person who chats with a Creator's Telegram account.
- Team member: a person the Agency invites into its workspace (owner, manager, chatter or any other role).
- Lana: the AI that writes and sends replies to Fans in the Creator's voice, following the persona, scripts, prices and limits the Agency sets.
- Persona: the name, age, tone, story and boundaries the Agency configures for a Creator's account.
- Vault: the media library (photos, videos, voice notes) the Agency uploads for Lana or the team to send.
- Licence: the right to run one Telegram account on the Service for 30 days.
- Balance: the prepaid amount the Agency holds with LanaChat, from which licences and the share of sales are deducted.
- Net sales: the amounts Fans actually pay for content sold through a connected account, after Telegram's share of Stars, payment processor fees, refunds and reversed transactions. A tip received in a conversation is attributed to whoever sent the last message to the Fan before it (Lana: an AI sale; a team member or a script step: a manual sale). Subscriptions sold outside the chat, a tip received with no earlier message in the conversation, and sales made on tools not connected to the Service are not net sales.
- AI sale: a sale whose paid offer (the locked media, the price or the payment link) was sent to the Fan by Lana.
- Manual sale: a sale whose paid offer was sent to the Fan by a team member from the console (Live Convs) or by a script step. A paid offer sent by a script step counts as a manual sale (team share tiers); a paid offer sent by Lana counts as an AI sale (AI share tiers). A tip is attributed to whoever sent the last message to the Fan before it (Lana: an AI sale; a team member or a script step: a manual sale).
- Customer content: everything the Agency puts into the Service: Vault media, scripts, personas, conversations, Fan data, tracking links, settings and uploads.
3. Eligibility
- Businesses only. The Agency confirms that it uses the Service for business purposes, that the person accepting these Terms is at least 18 years old and has authority to bind the Agency, and that the Agency is not located in a country where the Service, adult content or Telegram Stars are unlawful.
- Every Creator is an adult. The Agency confirms that every Creator whose account it connects is at least 18 years old (or the age of majority where she lives, if higher), that the Agency holds a copy of a government-issued photo ID for each Creator and a record of her consent to be represented on Telegram and to have Lana write in her voice, and that the Agency will produce these records to LanaChat within 48 hours on request.
- No minors, anywhere. No person under 18 may appear in any content, be referenced in any conversation, or be portrayed by any persona. A persona may not claim to be, hint at being, or role-play as a minor, and may not use words, settings or images that suggest one. No Fan who is or appears to be under 18 may be served; the Agency and Lana must end such conversations and the Agency must block the Fan. A breach of this section ends the contract immediately, without refund, and may be reported to the authorities.
- Verification. LanaChat may ask for business registration documents, the identity of the owner of the workspace, or proof of a Creator's age and consent at any time, and may suspend a workspace until they are provided.
4. Workspaces, accounts and team roles
- The Agency opens one or more workspaces and is responsible for everything done in them, by any team member, bot, API key or MCP client.
- The Agency chooses the role of every team member. Roles decide which creators, screens and actions a person can reach. The Agency must remove access promptly when someone leaves, and must keep credentials, API keys and bot tokens confidential.
- Sign-in details must be accurate and kept current. Accounts cannot be shared between people beyond what the role system allows.
- The Agency must tell us without delay at [email protected] if an account, key or token may have been compromised.
5. The Service
- Console. A web console where the Agency connects Telegram accounts, configures personas, scripts, prices and media, reads conversations, lets team members take over, and follows sales and the balance.
- Lana. An AI that replies to Fans in the Creator's voice, runs conversations towards the Agency's scripts, offers and delivers paid media, follows up with quiet Fans and respects the limits the Agency sets. Lana only does what the Agency has configured; the Agency can switch her off per Fan, per account or per workspace at any time.
- Telegram integration. The Service connects to Telegram accounts and bots the Agency owns, through Telegram's official interfaces, and respects Telegram's rate limits.
- Vault and scripts. Encrypted storage for the media Lana may sell and the scripts she follows.
- Tracking links. Links the Agency uses to attribute Fans and sales to a source.
- API and MCP. A programmatic interface and a Model Context Protocol server through which the Agency's own tools and AI assistants can read and act on the workspace, within the permissions of the key used.
- Private beta. The Service is in private beta. Features can change, be renamed or be withdrawn, and the Service may be unavailable at times. We give notice of material changes in the console, by email or on t.me/lanachatai when we can.
6. The Agency's responsibilities
The Agency, not LanaChat, is in charge of its accounts, its creators and what is sold. The Agency agrees that it will:
- own or be authorised to operate every Telegram account and bot it connects, keep the phone number, password and two-factor settings under its own or the Creator's control, and comply with Telegram's Terms of Service, Bot Platform terms and Telegram Stars rules at all times;
- only sell content that is lawful where the Creator, the Agency and the Fan are, that the Creator made or holds the rights to, and that shows only consenting adults; keep records of age and consent for every person shown, as a custodian of records;
- hold a written agreement with each Creator covering her consent to the use of her name, likeness, voice and content, to Lana writing in her voice, and to the sharing of revenue;
- configure personas, ages and stories that are true as to age (an adult persona must be presented as an adult) and that do not promise real-world meetings, services or anything the Creator will not deliver;
- disclose that an AI takes part in the conversation wherever a law, a regulator or Telegram requires it, and never use Lana to mislead a Fan about a payment, a delivery or a refund;
- deliver what a Fan has paid for, handle Fan complaints and refunds, and be the only party in the sale contract with the Fan;
- pay every tax, duty and fee due on its sales and on the amounts it pays LanaChat, and provide a valid VAT or tax number when asked;
- review Lana's configuration and output regularly. Lana generates text with a language model: it can be wrong, repeat itself, or say something the Agency would not have said. The Agency decides what Lana may offer and at what price, and remains responsible for every message sent from its accounts, whether a person or Lana wrote it;
- use the API and MCP server only with its own data and within the rate limits and permissions we publish.
7. Prohibited uses
The Acceptable Use Policy is part of these Terms. In short, the Agency may not use the Service to:
- involve, depict, reference or role-play a minor in any way, or serve a Fan known or suspected to be a minor;
- distribute non-consensual, stolen, leaked or deepfake content, or content showing a person without her written consent;
- harass, threaten, extort, blackmail, stalk, dox or discriminate against a Fan, a Creator or anyone else;
- defraud a Fan, sell something that will not be delivered, run fake giveaways, or take payment for real-world meetings or escort services;
- send spam, mass unsolicited messages, or messages that break Telegram's limits, or evade Telegram's bans, verification or anti-abuse systems;
- scrape, copy, resell, sublicense, rent, white-label or share access to the Service, or offer it as a bureau service to third parties outside the Agency's own creators;
- reverse engineer, decompile, extract prompts or models from, probe, overload or attack the Service, or use it to build a competing product;
- use the Service in breach of any law, sanction, platform rule or third-party right.
8. Fees and billing
- Prepaid balance. The Agency prepays a balance in USDT or USDC (minimum $25 per top-up) or by any other method shown in the console. Top-ups in USDC on Ethereum (ERC20) are credited 1:1. Top-ups in any other asset or network shown in the console carry a 1% conversion fee and are credited in USDC. All fees are deducted from the balance. We never charge a card or wallet without a top-up the Agency initiates. When the balance reaches zero, Lana pauses and conversations stay readable until the Agency tops up.
- Licences. One licence runs one Telegram account for 30 days: $19 bought one by one, or less in packs as priced in the console (for example a pack of 10 at $170, of 25 at $375, of 50 at $650). Unused licences do not expire. Moving a licence to another account keeps the days left on it.
- Share of AI sales. On top of licences, LanaChat takes a share of net sales closed by Lana, counted per workspace across all accounts and reset on the first day of each calendar month (UTC): 12% of the first $30,000 of monthly net sales, 10% of the part between $30,000 and $100,000, and 8% of the part above $100,000.
- Share of manual sales. Manual sales by the team are counted on the same monthly counter, for the whole workspace, at 4% of the first $30,000, then 3%, then 2%: inside each tier, the sales Lana closed pay her rate and the sales a team member closed pay the team rate. What decides the rate is who sent the paid offer, as defined in section 2: Lana, or a team member from the console or a script step. There is no time window.
- Net sales only. The share applies to net sales as defined in section 2, never to gross amounts. For a payment link whose settled amount is not reported to the console, net sales are the gross amount minus the provider's published fee as shown in the console (FanGate 8%, Dropp Fans 10%); for such a link, the fee deducted never exceeds 15% of the sale. A refund or reversal confirmed within 7 days of the sale returns the share taken on it to the balance and lowers the monthly counter by the same net amount. After 7 days the share stays.
- No other fees. There are no fees other than those stated here: no seat fee, no setup fee, no minimum term, no fee on subscriptions or on sales made outside the Service. Blockchain network fees on a top-up are paid by the Agency.
- Refunds. Balance already consumed by licences or shares is not refundable. Unused balance is refunded through support, on request made within 30 days of the top-up, in the same asset and to the same wallet or payment method it came from, less any network or processor fee. Unused licences already bought are not refundable but never expire. The 30-day limit does not apply where these Terms or the Data Processing Addendum say that unused balance is refunded (sections 8.10 and 12.4, DPA section 7.3). We refund in other cases only where the law requires it.
- Fan payments are not ours. Payments by Fans in Telegram Stars, through FanGate, Dropp Fans or any other payment link, are received by the Agency, on the Telegram accounts, bots and payment provider accounts it operates for its Creators, under Telegram's or the provider's terms. LanaChat is not a party to those payments, never receives or holds Fan money, and is not a payment service. LanaChat's share of sales is only deducted from the prepaid balance. Chargebacks, disputes, refunds to Fans, Star conversion rates, payout delays and provider holds are between the Agency, the Creator, the Fan and the provider.
- Statements. The console shows every licence, share and top-up. The Agency must report a billing error within 60 days of the statement that shows it; after that the statement is final.
- Price changes. We may change prices with at least 30 days' notice in the console or by email. The new prices apply to licences bought and sales made after the notice period ends. If the Agency disagrees, it can stop using the Service and ask for the refund of its unused balance under section 8.7, regardless of the 30-day rule.
- Taxes. Prices exclude VAT, sales tax and withholding tax. Where a tax applies to our invoice, it is added to the amount deducted from the balance.
- Affiliate program. An Agency that refers a new workspace earns 10% of the share LanaChat collects from that workspace's sales (not on licences) for 12 months. Earnings are released 7 days after month end and can be credited to the balance or withdrawn in USDC from $500. Self-referrals (same owner, wallet or Telegram account) are not eligible. LanaChat may change or end the program with 30 days' notice.
9. Content and data ownership
- The Agency keeps its content. As between the Agency and LanaChat, the Agency owns its customer content, including Vault media, scripts, personas, conversations and Fan data. Nothing in these Terms transfers that ownership to us.
- Licence to operate. The Agency grants LanaChat a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display and adapt customer content only as needed to provide, secure and improve the Service for the Agency, to comply with the law, and to enforce these Terms. The licence ends when the content is deleted, except for backups kept under section 9.5.
- AI processing. Lana is built on language models provided by third parties. Conversations, personas, scripts and media descriptions are sent to these providers to generate replies, under contracts that forbid them from training their models on this data. LanaChat may use the Agency's own data (conversations, sales, scripts) to tune Lana for that Agency's workspace. We do not train models that serve other customers on the Agency's content or Fan data, and we never sell, rent or share customer content with other customers or third parties except the sub-processors listed in the Privacy Policy.
- Usage data. We may collect and use aggregated, de-identified technical and performance data (such as response times, feature usage, conversion rates across many workspaces) to run and improve the Service. This data never identifies an Agency, a Creator or a Fan.
- Deletion and export. The Agency can export its data from the console or the API at any time. On termination, we keep customer content available for export for 30 days, then delete it, except for encrypted backups that roll off within 90 days and records we must keep by law (billing, abuse reports).
- Our property. The Service, its software, models, prompts, designs, documentation and trademarks belong to LanaChat and its licensors. The Agency gets no rights to them beyond use of the Service under these Terms. Feedback the Agency gives us may be used freely, without obligation.
- Telegram and third-party marks. Telegram, Telegram Stars, FanGate, Dropp Fans and other names used in the Service belong to their owners. LanaChat is not affiliated with, endorsed by or sponsored by Telegram or any payment provider.
10. Confidentiality
Each party will keep confidential the non-public information it receives from the other under this contract (for LanaChat: the Agency's content, creators, sales and team; for the Agency: unreleased features, pricing offered privately, API and MCP documentation marked confidential, and security details). Confidential information may only be used to perform this contract, shared only with people who need it and are bound by equivalent obligations, and must be protected with reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or that must be disclosed by law or court order (with notice to the other party where allowed). These obligations last for 5 years after the contract ends, and indefinitely for Fan data, Creator identities and security details.
11. Availability, beta status and changes
- We aim to keep the Service available at all times but do not promise uninterrupted or error-free operation. The Service depends on Telegram, AI model providers, hosting and payment providers that we do not control.
- During the private beta, the Service is provided "as is" and may change substantially. We may add, modify, limit or remove features, and may set or change rate limits, storage limits and the number of accounts per workspace.
- We may perform maintenance with or without notice. Where we can, we schedule it outside peak hours and announce it in the console or on t.me/lanachatai.
- LanaChat does not guarantee any result: no level of revenue, conversion, reply rate, Fan retention or ranking, and no guarantee that a Telegram account will not be limited, restricted or banned.
12. Suspension and termination
- By the Agency. The Agency can stop using the Service at any time, disconnect its accounts and delete its workspace from the console. Unused balance is refunded under section 8.7.
- Suspension by LanaChat. We may suspend a workspace, an account, a key or a team member, in whole or in part, without notice, where we reasonably believe there is a breach of section 3 or 7, a risk to Fans, Creators, other customers or the Service, a legal or regulatory demand, unpaid amounts, or a security incident. We lift the suspension when the cause is resolved.
- Termination for cause. Either party may end this contract if the other party breaches it and does not cure the breach within 14 days of written notice. We may end it immediately, without notice or refund, for any breach involving minors, non-consensual content, fraud against Fans, or sanctions.
- Termination for convenience. Either party may end this contract with 30 days' written notice. If LanaChat ends it this way, unused balance and the value of unused licences are refunded.
- Effect. On termination, Lana stops, access ends after the export window of section 9.5, and the sections that by their nature survive (fees owed, ownership, confidentiality, disclaimers, liability, indemnity, governing law) stay in force.
13. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, non-infringement and accuracy. LanaChat is a technical service provider: it does not create, select, endorse or review customer content, is not a party to the relationship between the Agency, its Creators and their Fans, and gives no legal advice on whether the Agency's activity is lawful in any country. Lana's output is generated by a language model and must be supervised by the Agency. Platform decisions (Telegram restrictions, Stars holds, provider payouts) are outside our control.
14. Limitation of liability
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, Fans, goodwill or data, even if advised of the possibility.
- LanaChat's total liability under or in connection with this contract, in aggregate for all claims, is capped at the total fees the Agency paid to LanaChat in the 12 months before the event giving rise to the claim.
- These limits do not apply to liability that cannot be limited by law, to a party's fraud or wilful misconduct, to the Agency's payment obligations, or to the Agency's indemnity under section 15.
15. Indemnity
The Agency will defend, indemnify and hold harmless LanaChat, its officers, employees and contractors from any claim, demand, fine, loss or cost (including reasonable legal fees) arising from: the Agency's customer content; the Agency's or its team's use of the Service; the age, consent or identity of any Creator or person shown in content; any sale to or dispute with a Fan; any breach of Telegram's or a payment provider's terms; any breach of these Terms or the law by the Agency, its team or its creators; or any tax due on the Agency's activity. We will notify the Agency of such a claim promptly and let it control the defence, provided it does not settle in a way that admits fault on our behalf without our written consent.
16. Governing law, arbitration and venue
- Governing law. This contract is governed by the laws of the State of Wyoming, USA, and the federal laws of the United States, without regard to conflict-of-law rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
- Talk first. Before starting any claim, a party sends a written notice describing the dispute to the other (for LanaChat: [email protected]; for the Agency: the email of the workspace owner). The parties try in good faith to resolve it within 30 days.
- Binding arbitration. If the dispute is not resolved in those 30 days, it is settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in English. The seat is Cheyenne, Wyoming; hearings may be held by video. The Federal Arbitration Act governs this clause. The arbitrator may award the same remedies a court could, and judgment on the award may be entered in any competent court. Each party bears its own costs unless the arbitrator decides otherwise.
- Individual claims only. Claims are brought only in a party's individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not consolidate claims of different customers.
- Jury waiver. To the extent a claim is heard in court rather than in arbitration, each party waives its right to a jury trial, as far as the law allows.
- Exceptions and venue. Either party may bring an individual claim in a small claims court with jurisdiction, and either party may seek an injunction or other urgent relief to protect its intellectual property, confidential information or the safety of Fans and Creators, and LanaChat may collect unpaid amounts, in the state or federal courts located in Wyoming, to whose jurisdiction the parties consent for those purposes.
- Opt-out. The Agency may opt out of arbitration and of the individual-claims rule (sections 16.3 and 16.4) by writing to [email protected] within 30 days of first accepting these Terms, stating the workspace name. Disputes are then heard exclusively by the state and federal courts located in Wyoming. The jury waiver of section 16.5 is not affected by the opt-out.
17. Changes to these Terms
We may update these Terms. The current version is always at lanachat.ai/legal/terms.html with its date at the top. For material changes we give at least 30 days' notice in the console or by email to the workspace owner; changes required by law or to address abuse may take effect sooner. Continued use after the effective date is acceptance. If the Agency disagrees, it may end the contract under section 12.1 before the effective date.
18. General
- These Terms, with the policies they reference and any written order or pricing confirmation, are the entire agreement and replace earlier discussions.
- The Agency may not assign this contract without our written consent. We may assign it to an affiliate or to a successor of the business, with notice.
- Notices to the Agency go to the email of the workspace owner. Notices to LanaChat go to [email protected].
- If a clause is found invalid, the rest stays in force and the clause is replaced by the closest valid one.
- Not enforcing a right is not a waiver of it.
- Neither party is liable for delay caused by events outside its reasonable control (platform outages, network failures, war, strikes, government action), except for payment obligations.
- The parties are independent contractors. No partnership, agency or employment is created, and neither party may bind the other.
- These Terms are written in English; translations are for convenience only and the English text prevails.
